Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Mingo API, website, and related services (collectively, the “Service”) provided by Mingles AI (“Mingles”, “we”, “us”). By creating an account, generating an API key, or sending requests to the Service, you agree to these Terms.

If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you confirm that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.

2. Account & API keys

Each API key is tied to a single account and identifies your traffic. You are responsible for keeping keys confidential. All requests that authenticate with your key are deemed your requests. If a key is leaked, rotate it immediately in the Console.

You may not share an account with another person or organization, except via the Team plan seat structure.

3. Acceptable use

Your use of the Service is also subject to our Acceptable Use Policy. Violations may lead to suspension or termination with or without notice.

4. Plans, billing, and pay-as-you-go

The Service is offered as:

  • a Free tier with usage quotas,
  • monthly subscription plans (Mini, Standard, Team) billed in advance via Stripe or crypto (USDT/USDC) via NOWPayments,
  • pay-as-you-go charges deducted from a prepaid balance at the per-model, per-token rates published on the Pricing page.

Token counts and per-request charges are computed on our side and are final, absent manifest error. We may update pricing at any time; changes take effect on the next billing period for subscriptions and immediately for new pay-as-you-go requests. Material changes will be communicated at least 7 days in advance.

Prepaid balances are non-transferable and have no cash value outside the Service. Crypto top-ups (USDT/USDC) are credited at the rate quoted at the time of the invoice; exchange-rate fluctuations are not refundable.

5. Refunds and cancellations

Refunds are governed by our Refund Policy. You may cancel a subscription at any time via the Console. Cancellation stops the next renewal; the current period remains active until its end date.

6. Service availability

We target high availability but do not guarantee uninterrupted service. We may perform maintenance, upgrade upstream model providers, or rate-limit traffic to protect the platform. The Service status page is at https://mingo.mingles.ai/status.

We may discontinue any individual model with at least 14 days’ notice and offer a comparable alternative or a pro-rated refund of unused subscription value.

7. Content and ownership

You retain all rights in the prompts, files, and other inputs you send to the Service (“Customer Content”). You grant Mingles a non-exclusive, worldwide, royalty-free license to process Customer Content solely to provide and improve the Service, comply with law, and enforce these Terms.

We do not train models on Customer Content.

Model outputs are generated by third-party open-weight models. We make no representation that outputs are accurate, non-infringing, or fit for any particular purpose. You are responsible for reviewing outputs before relying on them.

8. Prohibited uses

You may not use the Service to generate content that is illegal, harmful, infringing, defamatory, sexually explicit involving minors, or that violates any third party’s rights. See the Acceptable Use Policy for specifics.

9. Privacy

Our processing of personal data is described in the Privacy Policy.

10. Intellectual property

The Service, including the website, documentation, brand, and proprietary code, is owned by Mingles AI and protected by intellectual-property laws. You receive a limited, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT MODEL OUTPUTS WILL MEET YOUR REQUIREMENTS.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MINGLES’ AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (a) THE FEES YOU PAID TO MINGLES FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (b) USD 100. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

13. Indemnification

You agree to defend and indemnify Mingles against any third-party claim arising out of your use of the Service, Customer Content, or violation of these Terms.

14. Suspension and termination

We may suspend or terminate access for violations of these Terms, the AUP, suspected fraud, security risk, or as required by law. You may terminate at any time by deleting your account in the Console.

Sections that by their nature should survive termination (payment, IP, disclaimers, liability, governing law) will survive.

15. Modifications

We may update these Terms. We will post the updated date at the top of this page and notify registered users by email for material changes. Continued use after changes take effect constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Mingles AI is registered, without regard to conflict-of-laws rules. Disputes will first be attempted to be resolved by good-faith negotiation; failing that, they will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
